Rates
The ASI Show reserves the right to change the rates and terms herein at any time without notice. No discounts apply. All The ASI Show/Advantages Roadshow marketing opportunities are non-transferable and cannot be resold.

Payment Terms
All marketing, advertising and sponsorship fees must be paid in full with order. Space cannot be reserved without full payment. Any order may be canceled by The ASI Show if the advertiser or agent fails to pay accounts when due.

If advertiser or its advertising agency fails to pay moneys owed to The ASI Show the advertiser agrees to pay all costs, including attorney’s fees, expended in collecting overdue charges. Interest on all unpaid balances will be at the rate of 1.5% per month or the legally permissible rate, whichever is lower.

All advertising commitments are non-cancelable, non-transferable and non-refundable.

Advertising materials not received by the Materials Due Date may not be published and/or will not be entitled to revisions, changes, cancellations, approvals or guarantees in color matches. This order is subject to acceptance and credit approval by The ASI Show.

Advertiser’s Representation; The ASI Show Right to Decline Advertisement and Miscellaneous Terms & Conditions
To the best of advertiser’s knowledge, use of the content you provide does not infringe upon any trademark, service mark, copyright or patent. You shall immediately notify The ASI Show if there is a trademark, service mark, copyright or patent infringement claim concerning your advertisement. In the sole discretion of The ASI Show, The ASI Show may delete content on your advertisement that is alleged to infringe on another entity’s intellectual property rights. The ASI Show may decline to publish an advertisement that it determines, in its sole discretion, to be obscene or inappropriate.

Advertiser should not submit to The ASI Show photos (or product samples for photography) of products bearing the trademarks or logos of companies for whom they have not actually produced that product bearing the trademark or logo in question and for which they haven’t obtained approval – from the trademark owner – to use that sample in advertising.

Advertiser shall indemnify, defend and hold harmless the directors, officers, employees, representatives and agents of The ASI Show and its affiliates and assigns and successors of the same against any cause of action, claim or expense, including, but not limited to, reasonable attorney fees and court costs, arising from publication of advertiser’s material based on photos, samples, material or other information furnished by the advertiser including, but not limited to, any patent, trademark, copyright or similar infringement action or dispute or any other cause of action or claim between, among or from suppliers, distributors, distributor clients and/or third parties that may arise as a result of the use of photos, samples, material or other information furnished by the advertiser.

The ASI Show will make reasonable efforts to reproduce colors of products realistically and to publish the advertisements on schedule, but makes no specific guarantee in these regards.

Proofs, transparencies and other materials prepared by The ASI Show remain the property of The ASI Show.


The ASI Show reserves the right to edit all copy and to refuse advertisements that are not deemed suitable for publication, or do not conform to policies of The ASI Show as stated in the specifications sheet.

The ASI Show reserves the right to reject or cancel any advertising for any reason at any time.

The ASI Show shall have no liability for errors in material submitted by the advertiser or its agent.

Only the advertiser can be included in the promotion. No other company may be mentioned or other company’s products featured. Only ASI members may purchase advertising. Advertising and lists may not be used to promote products or services competing with ASI or The ASI Show/Advantages Roadshow products or services.

The ASI Show in its sole discretion may select advertisement location, unless the advertiser has paid for a special location.

No conditions, printed or otherwise, appearing on contracts, orders or copy instructions which conflict with the provisions of these terms and conditions will be binding on The ASI Show. The ASI Show assumes no liability for losses or damages that might occur as a result of errors of omission or commission in print.

Disclaimer
THE ASI SHOW DISCLAIMS ANY AND ALL WARRANTIES WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY FOR INFORMATION, OR NON-INFRINGEMENT. IN NO EVENT SHALL THE ASI SHOW BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOST REVENUES OR PROFITS REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF THE ASI SHOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE MAXIMUM LIABILITY OF THE ASI SHOW EXCEED THE FEES FOR THE SERVICES THAT FORM THE BASIS OF THE CLAIM.

Mailing Labels
Mailing lists are for one-time use only. They may not be duplicated, sold, rented or otherwise furnished to any other person or entity. The mailing list may only be used for one company. No information from a mailing list may be transferred to the customer’s own or to any electronic or mechanical addressing or data processing systems, without the prior written approval of an ASI Show officer. Any other use or divulgence, including the loan or sale to anyone, whether or not a licensee, of any material contained in the show mailing list is strictly prohibited.

Each unauthorized use of a mailing list shall result in a charge of $1,500.00. If The ASI Show is required to take legal action to recover the fees for unauthorized use, the customer agrees to reimburse The ASI Show for these costs. In addition to the unauthorized use fee, The ASI Show may also seek other damages and penalties available in law and/or equity.


Sponsor and Premium Advertising Policies

Right of First Refusal for Sponsorships and Premium Advertising
This policy applies for all “Right of First Refusal” positions, including sponsorships and premium advertising placement in the Directory, Daily and other ASI Show/Advantages Roadshow publications.

Existing “Right of First Refusal” sponsors/advertisers will have the first option to retain their particular advertising position. There will be a published date each year when these sponsors/advertisers must confirm their commitment with contract and payment to retain that position. After that date, or in the event that a company declines their “Right of First Refusal” to retain their position, the following process applies for open “Right of First Refusal” positions:

When a sponsorship/advertising opportunity becomes available, whether at an existing show or at a new show, the option will be offered to exhibitors in the following order:

First priority goes to existing sponsors/advertisers for that sponsorship/publication at other ASI Show/Advantages Roadshow in the order in which they became ASI Show/Advantages Roadshow sponsors/advertisers for that sponsorship/publication. For example, if there are three sponsors eligible for a keynote sponsorship, and one was a sponsor for three years (and the others were for less time), that sponsor would have the first opportunity to reserve the available position.

After current sponsors are offered the available position, the first company on the “Wait List” will have the option to secure the opening.

If the company on the “Wait List” is exhibiting at the show where the sponsorship/advertisement is available and declines the position for that show, they will also forfeit their spot on the “Wait List.” That company has the option to rejoin the “Wait List,” but will be placed at the bottom of the list.

If a supplier on the “Wait List” is not exhibiting at the show where the sponsorship/advertisement is available, the next company on the “Wait List” will have the option to reserve the available position. The non-exhibiting company will retain their existing position on the “Wait List.” If no one on the "Wait List" elects to be a sponsor or premium advertiser, then the sponsorship/advertisement will be made available to all other exhibitors.

If a company with the “Right of First Refusal” sponsorship/advertisement at one show is offered the same spot at another show, they can choose to keep both spots; or at their option, can give up the original spot, if they feel that the new spot is better for their business. For example, if a company is a Keynote Sponsor in Orlando, and the Las Vegas sponsorship becomes available, they can choose to keep both Orlando or Las Vegas, or they can choose Las Vegas, and the opening in Orlando will be processed as described above.

The “Wait List” is an ongoing list of suppliers who have submitted a written or verbal request for consideration for a sponsorship/advertisement when it becomes available. The date of the request determines the order of the list; this list is maintained by The ASI Show and is not show specific.

This “Right of First Refusal” policy will be interpreted at the sole discretion of The ASI Show.

The ASI Show Product Sponsorship
As a product sponsor, your imprint must include The ASI Show/Advantages Roadshow logo and this tagline crediting your company:
Sponsored by YOUR COMPANY NAME/LOGO, ASI/, AND BRIEF DESCRIPTION.
No other companies, company identifiers, logos or product can be included in this imprint. Samples must be provided to The ASI Show/Advantages Roadshow for approval prior to distribution.

As an official ASI Show Product Sponsor, the product you are sponsoring will be included in the official registration bags that are distributed to registered attendees at show site. No other exhibitor can include a simular product in the registration bags. However, a similar product may be featured at other show events or venues.

Event sponsors may distribute a product of their choice, which may coincide with your product sponsorship for the registration bags, at their specified sponsored event.

The ASI Show works hard to give Official Show Sponsors maximum exposure and may, if appropriate and at management’s discretion, provide you with added exposure. Management may distribute your sponsored product in the ASI Booth or at other show events, provided your product does not conflict with products being distributed by the event sponsor. Management will make the determination in the best interest of all participating sponsors.

In the event that The ASI Show/Advantages Roadshow needs products similar to the sponsored products (i.e. imprinted cups for an event) we will give first preference to product sponsors as the suppliers of those items.

In addition to distribution in the registration bags, you will receive recognition for your sponsorship in several high-profile locations. Your full-color logo and asi number will appear in:

• Sponsors Board in Registration or near the show entrance

Exhibitors providing material for distribution to attendees must provide the material by the date specified in the specification detail (see specs and deadlines). If the material is not provided by this date, there will be an additional charge of $1,000.00.

Governing Law & Venue
This Contract shall be governed in accordance with the laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflicts of law. The parties agree to submit to the exclusive personal jurisdiction and venue of the state courts in Bucks County, Pennsylvania or the federal court in the Eastern District of Pennsylvania for disputes relating to this Agreement.
